1. Agreement

These Terms of Service (“Terms”) govern the provision of cleaning services by Brightside Commercial Cleaning (“we”, “our”, “us”) to the client (“you”, “your”).

By engaging our services, you agree to these Terms unless otherwise agreed in writing.


2. Services

We provide commercial cleaning services as agreed in writing (quote, proposal, or service agreement), including:

  • Scheduled cleaning services
  • One-off or ad hoc cleaning
  • Site-specific cleaning requirements

All services will be delivered with reasonable care and skill.

Our cleaning service levels come with ongoing quality assurances, audit of our systems and improvement processes.

This includes:

  • Every client site has structred cleaning standards (checklists, manuals, tutorials)
  • Frequency expectations of additional services (deep cleans, specialised cleans)
  • Scheduled inspection/QA process 

 


3. Client Responsibilities

You agree to:

  • Provide safe and reasonable access to the premises
  • Ensure utilities (power, water) are available
  • Inform us of any hazards, risks, or special requirements
  • Secure or remove valuables and sensitive items
  • Cover any and all additional work requests outside the agreed scope, these requests incur additional charges

We are not responsible for delays or issues caused by lack of access or unsafe conditions.


4. Access & Security

Where keys, alarm codes, or access credentials are provided:

  • We will take reasonable steps to keep them secure
  • Access will only be used for agreed service purposes
  • You remain responsible for maintaining site security systems
  • We maintain a constant key register and tracking of assignees
  • We have lost key protocols
  • We have experience with alarm code rotation processes

    We are not liable for security incidents outside of our reasonable control.


    5. Health & Safety

    We comply with applicable workplace health and safety requirements under Work Health and Safety Act 2020 (WA).

    We reserve the right to refuse or stop work if a site is unsafe.

    Every client site has a comphrensive onboarding induction and compliance plan in place for all Brightside employees.

    This includes:

    • Site inductions for all staff and operations employees involved in managing the contract
    • PPE compliance assessments and processes
    • Police & working with childeren checks (where applicable)


    6. Pricing & Payment

    • Pricing is as agreed in writing (quote or contract)
    • Invoices are payable within [14/30] days unless otherwise stated
    • Late payments may incur reasonable administrative fees
    • We may suspend services for overdue accounts

    7. Cancellations & Changes

    • Scheduled services require 48 hours notice for cancellation
    • Late cancellations may incur a cancellation fee
    • Ongoing services may require written notice 30 days to terminate

    8. Quality & Rectification

    If you are not satisfied with a service:

    • You must notify us within 24–48 hours
    • We will assess and, where reasonable, re-perform the service

    We are not responsible for issues reported outside a reasonable timeframe.


    9. Damage & Liability

    We take reasonable care while performing services. However:

    • You must notify us of any damage within 24–48 hours
    • Our liability is limited to repair, replacement, or service re-performance at our discretion
    • We are not liable for:

      • Pre-existing damage
      • Wear and tear
      • Damage caused by faulty equipment or materials supplied by you
      • Loss of unsecured items

    To the extent permitted by law, our total liability is limited to the value of the services provided.


    10. Insurance

    We maintain appropriate business insurance, which may include:

    • Public liability insurance
    • Workers compensation insurance

    Proof of insurance can be provided upon request.


    11. Confidentiality

    We acknowledge that clients—particularly commercial, council, and government entities—may require strict confidentiality.

    We agree to:

    • Keep all site, operational, and client information confidential
    • Ensure staff and contractors follow confidentiality obligations
    • Not disclose sensitive information without permission unless required by law

    12. Subcontracting

    We may engage employees or subcontractors (rarely) to perform services.

    All personnel are expected to meet our service and compliance standards and maintain any insurances, certifications and work cover.


    13. Privacy

    We handle personal information in accordance with our Privacy Policy and the Privacy Act 1988 (Cth).


    14. Force Majeure

    We are not liable for failure or delay in performing services due to events outside our control, including:

    • Natural disasters
    • Power outages
    • Government restrictions
    • Labour shortages

    15. Termination

    We may suspend or terminate services if:

    • Payments are overdue
    • Site conditions are unsafe
    • There is a breach of these Terms

    You may terminate services in line with agreed notice periods.


    16. Governing Law

    These Terms are governed by the laws of Western Australia.
